Framework Conditions concerning the online business with wb4u GmbH

 

Article 1: Scope of application

The ‘Framework Conditions concerning online business with wb4u GmbH’ supplement the wb4u GmbH’s General Terms and Conditions and regulate the technical aspects of a client’s relationship with wb4u GmbH if no specific agreements have been made.

Article 2: Concerning the procedure of placing an order and its correction or demolition

As soon as wb4u GmbH unalterably confirms the client’s offer in a suitable manner, such as i.e. by means of E-mail, the client’s offer is accepted and the contract is concluded.

After checking his description and before placing the legally binding order by confirming with the ‘return’-key, the buyer can get back to the input screen, where the buyer’s description is recorded and wrong entries can be corrected.

By closing the internet browser, the ordering process can be cancelled.

Article 3: Price inquiry

Price inquiries are carried out free of charge, except if they are agreed upon differently in an individual case.

wb4u GmbH confirms receipt of the request immediately by means of an automatically generated E-mail.

Nevertheless, wb4u GmbH reserves the right not to edit requests without indicating reasons. The rejection will be communicated to the client immediately and in an appropriate manner.

Each accepted request generates an order. Whenever a search request is successful, the client receives a written and detailed offer by E-mail. Until that point of time, the client does not face any costs and has the right to waive a contractual conclusion.

Article 4: Requirements for placing an order

In order to create a legally binding contractual basis, the following steps must be fulfilled:

1. Completed client registration by filling in the application form and consensual awareness of the ‘General Terms and Conditions’

2. Entry of all necessary information concerning the sought goods/service

3. Acceptance of the order by wb4u GmbH

Article 5: Payment methods and payment conditions

By using www.wb4u.com, (I) a credit card payment via stripe.com is made available online. By choosing the classic (II) bank payment or (III) giro transfer, the tariffs of the appropriate financial service provider apply.

The price agreed upon with the client is (with reservation to another agreement) to be paid within seven (7) calendar days after the placement of the order. All of the payments must occur without deductions and without offset with a counterclaim.

Any additional costs have to be paid within twenty (20) calendar days after the date of invoice.

Article 6: Payment modules of third party providers

The respective General Terms and Conditions of the financial service provider apply.

Article 7: Changes after placing an order

In case a price adjustment or other changes is indispensable after receiving the buyer’s payment but before wb4u GmbH has executed the order due to reasons wb4u GmbH is not responsible for (i.e., because of force majeure), the buyer must decide to accept the changes or to withdraw from the contract.

The order confirmation, as well as additional written agreements between the buyer and wb4u GmbH serve as a basis.

Article 8: Delivery

All deliveries are executed based on the current version of ‘Incoterms 2010’, published by the International Chamber of Industry and Commerce in Paris. The commercial clause used will be listed in the order confirmation.

Certain goods are delivered based on the commercial clause (EXW/Ex Works) ex works of the provider. The term ‘ex work’ means: the good’s location when the buyer’s tender is submitted.

Once the buyer confirms acceptance of the good towards a forwarding company by means of a signature, the seller cannot be held liable at a later date regarding visible transport damages. Later discovery of defects remains reserved.

Article 9: Service and Guarantee

wb4u GmbH offers to the buyer include indications concerning the scope and duration of the producer’s or provider’s guarantee.  The order release serves to verify acceptance. Since wb4u GmbH does not produce goods and services offered by third parties, it takes no liability for contractual fulfilment by the said third parties.

Therefore, the producer’s or seller’s warranty conditions are valid and also in coverage of the approach, extent, costs, duration as well as other services and/or duties provided these conditions adhere to the producer’s or seller’s corresponding national law.

In any case, a decision concerning the extent of a service provision in case of guarantee or service lies with the producer/seller and cannot be influenced by wb4u GmbH. Therefore, wb4u GmbH rejects any liability for possible damages.

Any claims concerning obvious or late observed defects have to be processed by the buyer directly with the producer/seller based on one’s own responsibility.
